CPI 7501 2018 000 028 939 issued by the Paris Prefecture, registered with the Paris Trade and Companies Register under no. 531 223 931, not authorized to hold client funds, insured for professional liability by Suffren Assurances Associés, subject to VAT (FR23531223931), member of the French Federation of Property Finders, phone: +33 1 78 76 78 10, email: contact@homeselect.paris, represented for the purposes of this mandate by property finder , acting as an independent sales agent registered with the RSAC of under number , both duly authorized to enter into this mandate.
Hereinafter referred to as “the Agent”.
1 - Purpose of the mandate and search criteria assigned to the Agent : The Principal entrusts the Agent, who accepts, with the mission of finding a property to purchase in accordance with the following criteria:

2 - Agent’s obligations
The Agent undertakes to:
• Select and propose properties matching the criteria listed in section 1
• Arrange and attend property viewings with the Principal
• Provide relevant information for evaluating the proposed properties
• Advise the Principal on opportunities, negotiation strategies, and offer drafting
• Review and explain legal documents to the Principal
• Support the Principal through to the signing of the final deed of sale• Keep the Principal informed of any developments (market conditions, legal changes, etc.)
• Fulfill all legal obligations, including anti-money laundering checks (TRACFIN)
3 - Principal’s obligations
The Principal undertakes to:
• Assume full responsibility for their investment decisions
• Provide all required documentation (identity, proof of funds, legal capacity)
• Not reproduce or distribute the information or documents provided within this mission (such as property sheets, images, analyses), which are confidential and remain the exclusive property of the Agent and its partners
• Cooperate actively with the Agent throughout the assignment, in a spirit of trust and transparency
• Indicate, for each property proposed by the Agent, whether or not it was already known to the Principal. If the property is declared as unknown, it shall be deemed to have been presented by the Agent.
4 — Simple mandate: This is a non-exclusive mandate, which means that the Principal remains free to:
• search for a property independently
• assign the same mission to one or more third parties, whether professional or not
5 - Penalty clause
The Principal undertakes not to purchase, either directly or through a third party, any property presented by the Agent, during the term of this mandate and for a period of six months following the first presentation.
A property is deemed “presented” if any of its characteristics, references, visuals, contact details or information were shared with the Principal by any traceable means (email, written message, phone call, descriptive sheet, or viewing) during the term of the mandate.
In the event of breach of this obligation, the Principal expressly agrees to pay the Agent, under Article 1231-5 of the French Civil Code, a fixed indemnity equal to the fee specified in section 10.
6 – Duration: This mandate is valid for a maximum period of twelve months from the date of signature
7 – Termination at any time: This mandate may be terminated at any time by either party, with a seven-day notice period, by:

• Registered letter with acknowledgment of receipt
8 – Right of withdrawal: In accordance with Articles L221-18 et seq. of the French Consumer Code, the Principal has a right of withdrawal within 14 days of electronic signature of the mandate. This right may be exercised by:
• Using the withdrawal form attached to this mandate

The Agent may begin performing the service as soon as the mandate is signed, unless the Principal expressly requests otherwise.

10 - Fees:
• The Agent's remuneration is in consideration of the search mission defined in section 1.
• It is due only upon the actual acquisition by the Principal of a property matching the criteria in section 1, regardless of whether it was identified by the Agent or by the Principal.
• The Agent’s fee is payable on the day of signature of the final deed of sale, through the notary.
• In case of pre-emption, the pre-emptor is liable for the Agent’s fee.
• The fee is 2.5% including VAT of the net seller price, with a minimum of €10,000 including VAT.
• Fees are also due in the event of acquisition by:
• Any individual or entity connected to the Principal (such as a company, relative, or co-buyer)
• In such cases, an addendum or new mandate may be issued.

13 – Data protection: Personal data is processed in compliance with TRACFIN regulations, the GDPR, and the French Data Protection Act.
Certain data, including the Principal’s identity and full contact details, are retained for up to five years after contract termination, pursuant to Article L561-12 of the French Monetary and Financial Code.
In accordance with the GDPR and French law no. 78-17 of January 6, 1978, the Principal has rights of access, rectification, erasure, limitation, portability, and objection, exercisable by contacting the Agent.
They may also file a complaint with the CNIL (www.cnil.fr).
Pursuant to Article L223-2 of the Consumer Code, the Principal is informed of their right to register on the Bloctel list to block cold calls (www.bloctel.gouv.fr). HOME SELECT commits to respecting this right.
14 - Duty to inform: Each party commits to informing the other of any element essential to the proper performance of the mandate, in accordance with Article 1112-1 of the Civil Code. This duty covers all information that could influence consent or performance. It does not apply to subjective valuations of property. Failure to comply may entitle the harmed party to claim damages or request annulment in accordance with Articles 1130 et seq.
15 – Governing law: This mandate is governed by the Hoguet Law (Law no. 70-9 of January 2, 1970) and its implementing Decree no. 72-678 of July 20, 1972.
16 – Electronic signature: Pursuant to Article 1367 of the Civil Code and EU Regulation eIDAS no. 910/2014, the electronic signature constitutes a firm contractual commitment by both parties. The Principal confirms having read the entire mandate, understood its terms, and agrees to comply with them.

Annexe 2 - Pre-contractual Consumer Information
In accordance with Articles L111-1 and L221-5 to L221-7 of the French Consumer Code, the professional (the Agent) provides the consumer (the Principal) with the following clear and understandable information:

Our activity: We are subject to the Hoguet Law no. 70-9 of January 2, 1970 and Decree no. 72-678 of July 20, 1972. We also comply with the Code of Ethics annexed to Decree no. 2015-1030 of August 28, 2015.
Services: By signing a property search mandate, the Principal entrusts HOME SELECT with the mission of finding a property matching the criteria defined in the mandate. Full support is provided through to the final deed of sale.
Mandate duration: 12 months, fixed term, no tacit renewal.
Fees: Payable only upon actual purchase of a property presented by HOME SELECT, via the notary. Amount: 2.5% incl. VAT of the net seller price, minimum €10,000 incl. VAT. No other fees unless agreed in writing.
Payment: By bank transfer via the notary.
Mediation: In case of dispute, you may contact the mediator: GIE IMMOMEDIATEURS, 55 avenue Marceau – 75116 Paris, RCS 818 344 780, www.medicys.fr. Applicable law: French law.
Right of withdrawal: For contracts signed remotely or off-premises, you have a 14-day withdrawal right from the date of signature. You may exercise this right by email to contact@homeselect.paris or via the attached form. Unless otherwise stated, HOME SELECT may begin its service immediately. Withdrawal remains valid until the mission has been fully executed.
Data protection: All data is processed in compliance with GDPR, the French Data Protection Act, and TRACFIN regulations. Data is retained for up to 5 years post-mandate. You may exercise your rights by contacting: contact@homeselect.paris. In the absence of a response within 30 days, you may lodge a complaint with the CNIL (www.cnil.fr). You are also informed of your right to opt out of cold calling by registering with Bloctel (www.bloctel.gouv.fr).
